Services
X-VAT Ltd ("the Company") shall provide an online VAT compliance template annual licence to the client ("the Client").
Terms of Service www.vatman.online
These terms of service govern the contract between the Company and the Client.
The Client agrees to review these terms of service regularly.
Scope
The service shall comprise online access to www.vatman.online
Variations
The terms of the contract may be varied by agreement of the Company and the Client.
Duration
The licence shall terminate 12 months after the date of issue.
Charges
The charge for the service shall be as specified at time of purchase from www.vatman.online or www.vatman.store or www.x-vat.com (or such other charge as the parties may agree) and shall be payable on purchase or acceptance (subject to any special offers or discounts).
Personnel
The Company shall employ suitably qualified or experienced staff to provide the services.
Performance
The Company shall act in good faith and with due care and attention at all times.
Confidentiality
The Company shall treat any advice or communications with the Client as confidential except where the Client gives express consent to disclose information.
Assignment
The consent of the Client is required before the company can assign or sublet rights or obligations under this licence to a third party.
Termination
The licence may be cancelled at any time by either party on one calendar month’s written notice (including by email).
Jurisdiction
This contract is governed by the laws of Scotland and the courts of Scotland have jurisdiction; if the Client is based in England or Wales then the contract is governed by the laws of England & Wales and the courts of England & Wales have jurisdiction; if the Client is based in Northern Ireland then the contract is governed by the laws of Northern Ireland and the courts of Northern Ireland have jurisdiction.
Security
It is the responsibility of the Client to keep usernames and passwords confidential and not divulge these to any third parties.
The Company will not be responsible for any viruses passing through its website(s) or through email although it will use the latest technology to prevent this happening where possible. It will be the responsibility of the Client to carry out a virus check on any attachments received. Client data is held on servers located within secure facilities conforming to required industry standards for security and authentication.
The Client authorises the Company to access user and profile data for the purposes of security, maintenance, assistance, support or any other purpose authorised by the Client. The Company undertakes that Client data will be held in confidence and will never be given or sold to any third parties under any circumstances.
Insurance
The Company warrants in good faith that it has adequate professional indemnity and public liability insurance.
Data Protection
The Company warrants in good faith that it will comply will all relevant regulations and statutes in relation to the security and protection of personal data.
Privacy Policy
The Company Privacy Policy is published on the www.vatman.online website and the www.x-vat.com website and the www.vatman.store website and is fully compliant with UK legislation.
VAT Returns
The Company warrants in good faith the accuracy of the VAT calculations within the online compliance template www.vatman.online but will not be responsible for the accuracy of data input by Clients, users (or their clients) or any third party, errors or erroneous assumptions by Clients, users (or their clients) or any third party, the submission of VAT Returns by Clients, users (or their clients) or any third party, payment of any VAT due by Clients, users (or their clients) or any third party, or fraud or deliberate error by Clients, users (or their clients) or any third party.
Making Tax Digital for VAT
The Company warrants in good faith to act timeously in the submission of Client VAT Returns, but the Company will not be responsible for any failure in HMRC or Client systems including but not limited to internet or system failure; or for any failure where Client systems do not conform to the published specifications for vatman pro. The Company will not be responsible for any surcharges, penalties or interest charged by HMRC in relation to non-submission of VAT Returns due to any failure in HMRC or Client systems, or where the Client has failed to act timeously. The legal responsibility to submit accurate VAT Returns by the due date lies with the Client.
Intellectual Property
The Company shall retain ownership of all intellectual property rights in relation to vatman pro and www.vatman.online
Disputes
In the event of any unsatisfactory performance by the Company the client should contact the Service Director at help@x-vat.com
